Terms and Conditions
1. Introduction
These Terms and Conditions (“Terms”) govern all services provided by KC Designs & Company Inc (“we,” “our,” or “us”) to the client (“you” or “your”). By engaging our services, you agree to these Terms. If you do not agree, please do not use our services.
We provide a range of services, including but not limited to:
- Marketing & Creative Services – Digital marketing, social media management, printing, branding, and related creative services.
- Administrative Services – General business support, virtual assistance, and data management.
- Bookkeeping & Accounting Services – Financial record-keeping, payroll processing, compliance support, and related services.
2. Scope of Services
The scope, deliverables, and timelines for each project or engagement will be outlined in a written Proposal, Service Agreement, or Statement of Work (SOW). Any additional work outside the agreed scope will be subject to additional fees.
3. Client Responsibilities
You agree to:
- Provide all necessary information, materials, and approvals in a timely manner.
- Ensure that any information provided is accurate, complete, and lawful to use.
- Maintain full responsibility for business and financial decisions based on our work.
4. Fees & Payment Terms
- Fees will be outlined in your proposal or invoice.
- Payment is due within 10 days of the invoice date unless otherwise agreed in writing.
- For marketing and creative work, a deposit of [50%] may be required before work begins.
5. Confidentiality
We will treat all non-public information you provide as confidential, except where disclosure is required by law.
You agree not to disclose our proprietary processes, tools, or materials without prior written consent.
6. Intellectual Property
- Marketing/Creative Deliverables: Upon full payment, you will own the final deliverables unless otherwise specified. We retain the right to display non-confidential work for promotional purposes.
- Accounting/Bookkeeping Data: All financial records remain your property; however, we may retain copies for legal, tax, and internal record-keeping purposes.
7. Compliance & Legal Limitations
- Our accounting/bookkeeping services are provided for record-keeping and advisory purposes only and do not constitute legal or tax advice.
- You remain responsible for compliance with all applicable laws, regulations, and tax filings unless explicitly stated otherwise in writing.
8. Warranties & Disclaimers
- Marketing outcomes (e.g., sales, leads, rankings) cannot be guaranteed due to factors beyond our control.
- We make no warranties other than those expressly stated in writing.
- We are not liable for losses resulting from reliance on financial or marketing data provided.
9. Limitation of Liability
Our total liability for any claim related to our services will not exceed the total fees paid to us in the 3 months preceding the claim. We will not be liable for indirect, incidental, or consequential damages.
10. Termination
Either party may terminate services with 30 days’ written notice.
Upon termination:
- All outstanding fees become immediately due.
- Work completed up to the termination date will be invoiced.
11. Force Majeure
We will not be held liable for delays or failure to perform due to causes beyond our control, including natural disasters, labor disputes, internet outages, or government restrictions.
12. Governing Law
These Terms will be governed by and construed under the laws of [Province/State, Country], without regard to its conflict of law principles.
13. Text Messaging Consent
By providing your mobile phone number and opting in through our contact form or other communication channels, you consent to receive transactional messages related to your account, orders, or services you have requested. These messages may include, but are not limited to, appointment reminders, order confirmations, and account notifications. Message frequency may vary. Message and data rates may apply. Reply “HELP” for assistance or “STOP” to opt out at any time. Your consent to receive these messages is not a condition of purchase.
14. Amendments
We reserve the right to update these Terms at any time. Changes will take effect upon posting on our website or sending written notice.
